Terms of Service

Your use of the GPS Sync Solutions service indicates that you accept these Terms of Service (the "Agreement"). If you do not accept these terms and conditions, do not launch service.

This Terms of Service represent the agreement ("Agreement") is an agreement between you (the "User") and GPS Sync Solutions, LLC. We provide Users with access to our system which can track and manage their vehicles by providing general and personalized information, communication tools, mobile applications, map tools and services (collectively referred to as "the Service", the "Subscription") directly, which information shall be used by you for your own purposes and which use is outside the control of GPS Sync Solutions. If you have suggestions that can help us improve it or any questions about this Agreement, please email us and let us know. This Agreement explains our obligations to you, and your obligations to us.

General Terms of Service

• Do not use the Service for any illegal, unauthorized, unintended, unsafe, or unlawful purposes. It is your responsibility to ensure that your intended use of GPS tracking does not violate local, state or federal laws.

• You may not use our service to track a person without his or her consent, or track an object without the permission of its owner.

• When you pay for Equipment it becomes your property. Purchasing equipment is a one-time purchase, Subscription on the other hand is a recurring cost to receive services.

15 Day Upgrade Trial    

15 day upgraded trial is available once for each administrator account. After the 15 days’ trial you need to choose a paid plan, otherwise GPS Sync Solutions will switch back your account to Inactive state which means the X-GPS Tracker and your administrator account will stop working.

Service Coverages And Quality       

GPS Sync Solutions Service works nationwide. However, GPS Sync Solutions relies on your mobile service provider the services of GPS Satellites and local GSM network operators to deliver its services which are not under GPS Sync Solutions Service. GPS Sync Solutions Service, therefore, cannot be held responsible if there is poor or no GPS or GSM reception coverage. GPS Sync Solutions Service does not guarantee service functionality or security, and storage of received information. You use GPS Sync Solutions Service at your own risk. The service is provided "As Is". GPS Sync Solutions Service does not take any responsibility, and cannot be customized for user needs.

Free Services

GPS Sync Solutions Tracking System is available to everyone that registers during the free trial, free of charge. After the end of the 15-day trial period, our services will completely or partly be liable to a monthly fee. A detailed description of these fees shall be sent to all of our customers, who can then decide whether to further employ our services. The usage of GPS Sync Solutions software and services are free of charge under defined conditions. In case of exceeding defined limitations subscription to the paid service will be required. Free accounts are never transformed into paid accounts without your permission. GPS Sync Solutions reserves the right to change the conditions of free services at any time without prior notification.

 

Alert Disclaimer 
You understand and agree that any Email's or SMS text alerts provided to you through the use of website, products, tracking platform and services may be delayed or prevented by a variety of factors. GPS Sync Solutions does its best to provide alerts in a timely manner with accurate information. However, we neither guarantee the delivery nor the accuracy of the content of any alert. You also agree that GPS Sync Solutions shall not be liable for any delays, failure to deliver, or misdirected delivery of any alert; for any errors in the content of an alert; or for any actions taken or not taken by you or any third party in reliance on an alert.

Equipment

When you pay for Equipment it becomes your property. Purchasing equipment is a one-time purchase, Subscription on the other hand is a recurring cost to receive services. All equipment come with a two-year warranty from the date of purchase.

 

SIM Card

The Customer shall not remove, or permit or allow others to remove any SIM Card's from any of the tracking device products. The customer is responsible for the loss or theft and any consequent (including fraudulent or improper) usage of the SIM Card's.

 

Installation

Installation is simple and can be performed by you, the customer, or a professional. We can suggest a professional installation company.

Equipment must be installed according to our instructions to work properly. Installation is simple and customer installations are acceptable and warranty safe. If you would like a professional installer to do it for you, we can help arrange that.

 

Payment

You agree to pay all fees charged to your account for the GPS Sync Solutions Service. If you choose any subscription, you will be charged such fees each month, even if you do not use the GPS Sync Solutions Service. This subscription can be any time cancelled from your side. We reserve the right to change the fees for the GPS Sync Solutions Service at any time, upon prior notice to you.

 

Network Provider Charges

You are responsible for any fees assessed by your wireless telephone carrier to access the GPS Sync Solutions Service and mobile applications including any data plan charges, toll, out-of-area, roaming, or other telephone connection charges. Standard messaging rates and other charges may apply when using certain features in the GPS Sync Solutions Service.

 

Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your service, you may simply discontinue using the Service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

 

Disclaimer of Warranties

THE SERVICE AND ALL RELATED INFORMATION ARE PROVIDED ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESSED OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR CONDITIONS OF MERCHANTABILITY, TITLE, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT FOR A PARTICULAR PURPOSE. THE SERVICE MAY BE SUBJECT TO LIMITATIONS, DELAYS, AND OTHER PROBLEMS INHERENT IN THE USE OF THE INTERNET AND ELECTRONIC COMMUNICATIONS. GPS SYNC SOLUTIONS IS NOT RESPONSIBLE FOR ANY DELAYS, DELIVERY FAILURES, OR OTHER DAMAGE RESULTING FROM SUCH PROBLEMS.

The Services may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance, or because of other causes beyond our reasonable control, but GPS Sync Solutions shall use reasonable efforts to provide advance notice of any material scheduled service disruption. Each User is solely responsible for determining the appropriateness of using the Service and assumes all risks associated with its exercise of rights under this Agreement, including but not limited to the risks and costs of program errors, compliance with applicable laws, damage to or loss of data, programs or equipment, and unavailability or interruption of operations.

 

Limitation of Liability

NEITHER GPS SYNC SOLUTIONS NOR ANY CONTRIBUTORS SHALL HAVE ANY LIABILITY FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST SALES OR BUSINESS, LOST DATA), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THE SERVICE OR THE EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

 

Indemnification

You agree to indemnify, defend and hold GPS Sync Solutions, its suppliers, and its licensors (including their respective licensors, suppliers, assignees, subsidiaries, affiliated companies, and the respective officers, directors, employees, shareholders, agents and representatives of each of them) free and harmless from and against any liability, demand, cost, expense, or claim of any kind or character, including but not limited to attorney's fees, arising out of or in connection with your use of the Service or the GPS Sync Solutions.

Monitoring Disclaimer

We are not a monitoring company. As a customer and user of our Service, you have the ability and responsibility to monitor your fleet and assets, employees and we give you the ability to effectively do that. GPS Sync Solutions may, but has no obligation to monitor activity on the site or events created using our services and equipment. We closely monitor the operations of the tracking platform, mobile app's and GPS devices data only in the sense that we ensure accurate and reliable transmission to and from our equipment and services.
